Terms of Service

1. Agreement
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Baseline Health App LLC, a Florida limited liability company (“Company,” “we,” “us,” or “our”). By downloading, installing, accessing, or using the Baseline mobile application, the Baseline Apple Watch companion app, the Baseline coach dashboard, or any associated web properties at baselinehealthapp.com (collectively, the “Service”), you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.
2. Service Description
Baseline is a health and fitness platform that calculates readiness scores from biometric data collected through Apple HealthKit, provides AI-powered coaching insights, AI-generated workout suggestions, and document scanning (OCR) for lab reports and body composition scans. The Service also provides user accounts, a coaching platform where personal trainers manage client readiness and training programs, in-app messaging between trainers and clients, and a web-based coach dashboard accessible at baselinehealthapp.com/coach.
The Service includes the Baseline iOS app, Apple Watch companion app, associated server-side processing and storage infrastructure, and web properties at baselinehealthapp.com. The Service is provided for informational and wellness purposes only. The Service may be updated, modified, or discontinued at our discretion.
3. Not Medical Advice
The Service is a fitness and wellness tool. It is not a medical device, and it is not intended to diagnose, treat, cure, or prevent any disease or medical condition.
- AI coaching insights are generated by artificial intelligence and do not constitute medical advice, clinical guidance, or a professional healthcare recommendation.
- Scores, metrics, and recommendations presented in the App are derived from biometric data and algorithmic calculations. They should not be used as a basis for medical decisions.
- Always consult a qualified healthcare provider before making changes to your exercise routine, diet, medication, or health practices.
- If you experience a medical emergency, call 911 (in the United States) or your local emergency number immediately. Do not rely on the Service in a medical emergency.
- The Company is not a healthcare provider. The Service does not create a physician-patient relationship.
4. Eligibility and User Responsibilities
- You must be at least 13 years old (or 16 in the EU/EEA) to use the Service as an athlete.
- Coach accounts require the account holder to be at least 18 years of age. By creating a coach account, you represent and warrant that you are at least 18 years old.
- You are responsible for the accuracy of data you manually enter into the App.
- You are responsible for maintaining the security of your account credentials. You must not share your authentication session or allow others to access your account.
- Each account is designated as either an athlete account or a coach account. You may not hold both roles under a single account. Each Apple ID or email address may be associated with only one Baseline account. Attempting to create multiple accounts with the same credentials will result in access to the existing account.
- If you are a coach, you are responsible for sharing your trainer code only with clients you intend to coach. You must not publicly post your trainer code in a way that allows unauthorized connections.
- You agree not to reverse-engineer, decompile, disassemble, or attempt to extract source code from the App, except to the extent that such restriction is expressly prohibited by applicable law.
- You agree not to use the AI Coach to seek medical diagnosis, emergency medical guidance, or advice regarding prescription medication.
- You are responsible for maintaining the physical security of your device and any data stored on it.
- You agree not to use the Service for any unlawful purpose or in violation of these Terms.
5. User Accounts
Account creation is optional for athletes and required for coaches. Accounts are created via Sign in with Apple (iOS and web) or email and password (web dashboard).
Account data is stored in our cloud infrastructure (AWS Cognito for authentication, AWS DynamoDB for profile and application data) in the United States (us-east-1 region).
When you create an account and sign in, your computed readiness scores are synced to our cloud database for backup and cross-device access. This syncing occurs regardless of whether you are connected to a trainer.
You may delete your account and all associated cloud data at any time from within the App via Settings > Account > Delete Account. Account deletion is permanent, removes all cloud-stored data associated with your account, and cannot be reversed. For details on what data is deleted, see our Privacy Policy.
6. HealthKit Integration
Baseline accesses Apple HealthKit data with your explicit permission. You can revoke HealthKit permissions at any time via iOS Settings > Privacy and Security > Health > Baseline. Revoking permissions may limit or eliminate the Service's ability to calculate your readiness scores.
By connecting to a trainer, you consent to your computed readiness scores (derived from HealthKit data, not raw HealthKit samples) being shared with that trainer via our cloud infrastructure. Raw HealthKit data is never shared with trainers. You may revoke this sharing at any time by disconnecting from your trainer.
Use of HealthKit data is further governed by our Privacy Policy.
7. Trainer-Client Relationships
Coaches receive a unique trainer code upon account creation. Clients connect to a coach by entering the trainer code in Settings.
Before your connection is established, the App will display the specific data that will be shared with your trainer. By completing the connection, you consent to this sharing.
Trainers can view: your display name, daily Baseline score, recovery score, sleep score, stress score, readiness state (Push/Maintain/Recover), workout type and date, weekly training volume, program compliance percentage, and messages you exchange with them.
Trainers cannot view: specific exercises, sets, reps, or weights within your workouts; your AI coaching conversations; your raw HealthKit data; your body composition details; your lab results; your personal profile information beyond your display name; or data from any other trainer you may be connected to.
AI coaching conversations are private to the user and are never visible to connected trainers.
Either party may disconnect at any time. Upon disconnection, the trainer's access to the client's data is revoked immediately. The trainer-client relationship record, associated message history, and program assignments are permanently deleted from our servers within 24 hours. The client's synced scores remain in their own account and continue to follow the standard 60-day retention period.
Program templates created by trainers remain the property of the trainer and persist in the trainer's account after a client disconnects. When a client disconnects, the program assignment is removed, but the underlying template is not affected.
Trainers must not knowingly connect to clients under the age of 13 (or under 16 in the EU/EEA). If you believe a minor has connected to your account, contact support immediately.
The Company is not responsible for actions taken by trainers based on readiness data, nor for training programs, advice, or communications provided by a trainer through the platform.
8. Coach Responsibilities
The Company does not employ, endorse, certify, license, or supervise trainers who use the platform. The relationship between a trainer and their clients is independent of the Company. The Company has no responsibility or liability for the actions, advice, programs, or communications of any trainer.
- Coaches agree that readiness data provided through the platform is for informational purposes and does not constitute medical assessment.
- Coaches must not represent Baseline data as a medical diagnostic tool to their clients.
- Coaches are solely responsible for the training programs and advice they provide to clients through the platform or otherwise.
- The Company does not verify trainer credentials, certifications, or qualifications.
- Coaches agree not to use client data for any purpose unrelated to their coaching relationship with that client.
- If you are a healthcare provider or licensed professional subject to HIPAA or other healthcare privacy regulations, you are solely responsible for determining whether your use of the platform complies with your professional obligations. The Company is not a covered entity under HIPAA and does not provide Business Associate Agreements.
9. Messaging
Messages between trainers and clients are stored on our servers and retained for the duration of the coaching relationship. Messages are visible only to the sender and recipient.
The Company does not routinely monitor message content. However, the Company reserves the right to review message content in response to reports of abuse, violations of these Terms, or as required by law.
Upon disconnection between a trainer and client, messages are permanently deleted from our servers within 24 hours.
If you receive abusive or inappropriate messages, you may disconnect from the other party immediately and report the behavior to support@baselinehealthapp.com.
10. AI Coaching and Workout Suggestions
- AI coaching responses and workout suggestions are generated by third-party artificial intelligence technology (Anthropic's Claude API) and do not reflect the opinions or recommendations of Baseline Health App LLC.
- Responses may be inaccurate, incomplete, outdated, or inappropriate for your specific health situation, fitness level, or physical limitations.
- The Company does not guarantee the accuracy, reliability, completeness, or suitability of any AI-generated content, including coaching insights and workout programming.
- AI coaching and workout suggestions are provided for general informational and motivational purposes only and should not be relied upon as a substitute for professional advice from a certified personal trainer, physical therapist, or healthcare provider.
- When you use AI features, profile information (name, age, sex, body metrics) and health data are transmitted to our servers for processing as described in our Privacy Policy. By using AI coaching, workout suggestions, or document scanning features, you explicitly consent to your data being transmitted to Anthropic's Claude AI for processing.
- You use AI coaching and workout suggestion features at your own risk.
11. Subscriptions and Payments
Certain features of the Service may require a paid subscription. If and when subscription features become available:
- Subscription pricing, features, and tiers will be as listed in the Apple App Store at the time of purchase.
- Coach accounts may be subject to per-client subscription fees. Pricing and terms will be as listed in the Apple App Store or on the web dashboard at the time of purchase.
- Subscriptions auto-renew unless cancelled at least 24 hours before the end of the current billing period.
- You can manage and cancel subscriptions in iOS Settings > [Your Name] > Subscriptions.
- Payment is processed by Apple. Refunds are handled by Apple per their refund policy. The Company does not process payments directly.
- The Company reserves the right to change subscription pricing. Any price changes will take effect at the start of your next billing cycle following notice of the change.
12. Intellectual Property
The Service, including but not limited to its design, source code, visual assets, content, workout templates, exercise library, algorithms, AI prompts, and documentation, is the exclusive property of Baseline Health App LLC and is protected by United States and international copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works based on the Service or any part thereof without prior written consent from the Company.
You retain full ownership of your personal health data. Nothing in these Terms transfers ownership of your data to us.
Programs created by trainers and assigned to clients are the intellectual property of the trainer who created them. Clients may view and follow assigned programs within the App but may not export, copy, or redistribute program content. If a client exercises their right to data portability, exported data will include their own health scores and messages but will not include the full content of trainer-created programs.
Trainer accounts may export program templates they have created. Client health data, readiness scores, and message content are not exportable by trainers and are permanently deleted when client connections are terminated.
13. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BASELINE HEALTH APP LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Without limiting the foregoing, the Company does not warrant that: (a) the Service will meet your requirements or expectations; (b) the Service will be uninterrupted, timely, secure, or error-free; (c) the scores, metrics, or AI coaching outputs will be accurate, reliable, or complete; or (d) any defects in the Service will be corrected.
14. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BASELINE HEALTH APP LLC, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
The Company is not liable for any injury, health issue, or adverse outcome arising from your use of the Service, reliance on AI coaching outputs, or reliance on readiness scores or health metrics presented in the App. The Company is not liable for any injury, harm, or loss arising from training programs, advice, or communications provided by a trainer through the platform. The Company does not employ, endorse, or supervise trainers.
The Company's total aggregate liability for all claims arising out of or relating to these Terms or the Service shall not exceed the total amount you paid to the Company for the Service in the twelve (12) months preceding the claim, or fifty U.S. dollars ($50), whichever is greater.
The Company is not responsible for the accuracy of HealthKit data provided by your devices, Apple's services, or any third-party hardware.
15. Indemnification
You agree to indemnify, defend, and hold harmless Baseline Health App LLC, its officers, directors, members, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use or misuse of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your violation of any rights of a third party.
16. Dispute Resolution
Informal Resolution: before filing any formal legal proceeding, you agree to first contact us at support@baselinehealthapp.com and attempt to resolve the dispute informally for at least thirty (30) days.
Governing Law: these Terms and any disputes arising hereunder shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.
Jurisdiction: any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Florida, and you consent to the personal jurisdiction and venue of such courts.
17. Class Action Waiver
TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND THE COMPANY AGREE THAT ANY CLAIMS RELATING TO THESE TERMS OR THE SERVICE WILL BE RESOLVED ON AN INDIVIDUAL BASIS, AND YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS-WIDE ARBITRATION, OR ANY OTHER REPRESENTATIVE PROCEEDING.
18. Termination
- You may stop using the Service at any time by deleting the App from your device.
- If you have an account, you may delete your account and all associated cloud data from within the App via Settings > Account > Delete Account. If you uninstall the App without deleting your account, your cloud data remains stored per our data retention policies.
- The Company may terminate or suspend your access to the Service at any time, with or without cause, and with or without notice, for conduct that the Company believes violates these Terms or is harmful to other users or the Company.
- If a trainer's account is terminated or deleted, all connected clients are automatically disconnected. Shared data is permanently deleted within 24 hours.
- If a client's account is terminated or deleted, their connected trainer loses access to their data immediately. Shared data is permanently deleted within 24 hours.
- Sections 3, 8, 10, 12, 13, 14, 15, 16, 17, and 21 shall survive termination of these Terms.
19. Force Majeure
The Company shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, terrorism, labor disputes, government actions, power failures, internet or telecommunications failures, or failures of third-party services (including Apple HealthKit, AWS, or Anthropic).
20. Business Transfers
In the event of a merger, acquisition, bankruptcy, or sale of all or a portion of our assets, these Terms and your account may be assigned to the successor entity. We will notify you via the App or our website prior to your data being transferred and becoming subject to a different privacy policy or terms. You will have the opportunity to delete your account before such transfer takes effect.
21. Changes to These Terms
Baseline Health App LLC reserves the right to modify these Terms at any time. When we make changes, we will revise the “Effective” date at the top of this page. For material changes, we will provide notice through the App or on our website prior to the change taking effect. Your continued use of the Service after any changes constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service.
22. General Provisions
- Entire Agreement: these Terms, together with the Privacy Policy, constitute the entire agreement between you and Baseline Health App LLC regarding the Service, and supersede all prior or contemporaneous agreements, representations, or understandings.
- Severability: if any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.
- Waiver: the failure of the Company to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
- Assignment: you may not assign or transfer these Terms or your rights hereunder without the Company's prior written consent. The Company may assign its rights and obligations under these Terms without restriction.
